Terms and Conditions

1. Agreement to Terms

By accessing and using EasySched ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

EasySched is an online booking platform specifically designed for independent service providers, including but not limited to barbers, tattoo artists, nail technicians, hair stylists, eyelash technicians, and tax accountants. The Service is intended for individual providers who work for themselves, not businesses with staff or enterprises.

3. Subscription and Fees

EasySched operates on a subscription-based model with the following terms:

• Monthly subscription fee: $35 per month
• No hidden fees or commission charges
• No marketplace fees
• Payment processing is handled directly by Stripe at standard rates (2.9% + $0.30 per transaction)
• EasySched does not mark up or add additional processing fees
• Future addon packages may be available for additional SMS and email services if usage limits are exceeded

3.1 Refund Policy

• Monthly Subscriptions: Subscriptions are billed monthly in advance and are non-refundable. If you cancel your subscription, you will retain access to the Service until the end of your current billing period, but no refund will be issued for partial months.
• Cancellation: You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of the current billing period.
• Payment Processing Fees: Stripe processing fees (2.9% + $0.30 per transaction) are charged directly by Stripe and are non-refundable. EasySched has no control over Stripe's fee structure or refund policies.
• Billing Disputes: If you believe you have been charged in error, please contact support@easy-sched.com within 30 days of the charge. We will investigate and resolve billing errors promptly.

4. Payment Processing

Payment processing is handled through Stripe Connect Standard. By using our payment features, you agree to:

• Provide accurate and complete payment information
• Comply with Stripe's Terms of Service
• Pay all applicable processing fees directly to Stripe
• Maintain full control over your payment processing and funds

EasySched does not store billing information as this is handled directly by Stripe.

5. User Responsibilities

As a user of EasySched, you agree to:

• Provide accurate and up-to-date information
• Use the Service only for lawful purposes
• Not interfere with or disrupt the Service
• Not attempt to gain unauthorized access to any part of the Service
• Comply with all applicable laws and regulations
• Be responsible for all activity that occurs under your account

6. SMS and Communication Consent

By providing your phone number to EasySched, you expressly consent to receive recurring SMS text messages from EasySched. This includes:

• Appointment confirmations and reminders
• Booking updates and changes
• Service-related notifications
• Important account and security information

Message Frequency: You may receive up to 8 messages per month, depending on your booking activity.

Consent and Opt-Out: You understand that consent is not required to make a purchase. Your consent to receive SMS messages is not a condition of purchasing any goods or services. You may opt out of SMS notifications at any time by:

• Replying "STOP" to any SMS message
• Replying "HELP" for assistance
• Contacting customer support at support@easy-sched.com

Message and Data Rates: Standard message and data rates may apply depending on your mobile carrier plan. EasySched is not responsible for any charges from your wireless provider.

7. Data and Privacy

EasySched is committed to protecting your privacy:

• We do not sell your personal information for any reason
• Personal information is collected and stored strictly for enhancing user experience
• We may send SMS and email notifications as outlined in Section 6 above
• IP addresses are collected strictly for preventing abuse and maintaining security
• Full data control remains with the service provider

8. Service Availability

While we strive to maintain high availability, EasySched is provided "as is" and we do not guarantee that the Service will be available at all times. We reserve the right to suspend or terminate access for maintenance, updates, or other operational reasons.

9. Account Termination

Either party may terminate the service relationship at any time:

• Subscription Cancellation: You may cancel your subscription at any time through your account dashboard. Upon cancellation, you retain access until the end of your current billing period.
• Account Deletion: You may request permanent deletion of your account and associated data by contacting support@easy-sched.com. We recommend exporting your data before requesting deletion.
• Termination by EasySched: We may terminate accounts that violate these terms with or without notice.
• You may export your data at any time through your account dashboard

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EASYSCHED, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
• ANY CONTENT OBTAINED FROM THE SERVICE;
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

IN NO EVENT SHALL EASYSCHED'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO EASYSCHED IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

11. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of EasySched. The Service is protected by copyright, trademark, and other laws.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

14.2 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in Travis County, Texas. You hereby consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

14.3 Time Limitation

Any cause of action or claim you may have arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.

15. DISCLAIMERS AND WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. EASYSCHED EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

EASYSCHED MAKES NO WARRANTY THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

No advice or information, whether oral or written, obtained by you from EasySched or through the Service shall create any warranty not expressly stated in these Terms.

Some jurisdictions do not allow the exclusion of certain warranties. Accordingly, some of the above limitations may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless EasySched, LLC and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms;
• Your use of the Service, including but not limited to your User Content, appointment bookings, and interactions with customers or service providers;
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right;
• Any claim that your User Content caused damage to a third party;
• Your violation of any applicable laws or regulations.

This indemnification obligation will survive termination of these Terms and your use of the Service.

17. Force Majeure

EasySched shall not be liable for any failure to perform its obligations under these Terms where such failure results from circumstances beyond our reasonable control, including but not limited to:

• Acts of God, natural disasters, pandemics, or public health emergencies
• War, terrorism, civil unrest, or government actions
• Internet service provider failures or denial of service attacks
• Power outages, telecommunications failures, or equipment failures
• Third-party service failures (including Stripe, Google, Microsoft, or Telnyx)

In the event of force majeure, our obligations will be suspended for the duration of the event. We will make reasonable efforts to notify you and resume normal operations as soon as possible.

18. User Content and Data Ownership

18.1 Your Data Ownership

You retain all ownership rights to the data you input into the Service, including:

• Customer contact information and appointment records
• Business information, service descriptions, and pricing
• Calendar data and availability settings
• Communication content (subject to Section 6 SMS consent)

18.2 License to EasySched

By submitting content to the Service, you grant EasySched a limited, non-exclusive, royalty-free, worldwide license to:

• Store, process, and display your content to provide the Service
• Create backups and copies for redundancy and disaster recovery
• Use aggregated, anonymized data for analytics and service improvement

This license terminates when you delete your content or account, except where retention is required by law or for legitimate business purposes (as outlined in our Privacy Policy).

18.3 Data Export

You may export your data at any time through your account dashboard. Exported data will be provided in CSV format and will include:

• Customer contact information
• Appointment history and records
• Service and pricing information
• Financial transaction history

If you request account deletion via support@easy-sched.com, you have 30 days to export your data through your account dashboard before permanent deletion occurs.
